FS Bancorp Plans $5 Million Share Buyback
FS Bancorp, Inc. said its board authorized a share repurchase program of up to $5 million of its common stock, to run for 12 months through August 24, 2027. The program is set to commence no sooner than the second trading day after the public announcement and may be executed in open-market or privately negotiated transactions, including under a Rule 10b5-1 trading plan. Repurchases will be at management’s discretion and subject to factors such as stock price, liquidity, market conditions, capital allocation options, and the company’s financial performance; purchases are not guaranteed to occur and may be suspended or modified. The plan is intended to reflect confidence in the company’s valuation and capital position, with open-market buys governed by Rule 10b-18. FS Bancorp operates 33 branches serving Washington and Oregon and is the holding company for the 1st Security Bank of Washington. The various filings and coverage emphasize the same $5 million buyback and the flexibility and potential signaling effects of the program.
